Kathleen McCullough represents investment banks, private equity firms, and companies in public and private debt and equity offerings and acquisition financing, with a particular emphasis on issuances of high yield debt securities.

Kathleen was previously a co-leader of the Women Lawyers Group in London and prior to joining the firm she received a JD from Fordham University School of Law where she published “Mandatory Arbitration and Sexual Harassment Claims: #MeToo- and Time's Up-Inspired Action Against the Federal Arbitration Act.”

Kathleen's experience includes advising:

  • The syndicate of initial purchasers in the issuance of US$500 million senior secured notes by Merlin Entertainments, a portfolio company of Blackstone, KIRKBI, and CPP Investments
  • Shelf Drilling, a leading international shallow water offshore drilling contractor, in connection with its offering of US$1,095 billion senior secured notes and concurrent tender offer
  • 10X Capital Venture Acquisition Corp. II on its de-SPAC with African Agriculture Inc.
  • The initial purchasers in the high yield bond offering of £475 million (equivalent) and concurrent tender offer by Iceland Foods, a national UK food retailer specializing in frozen food
  • Goldman Sachs, BNP Paribas, Bank of America, Mizuho, Deutsche Bank, Santander, Rabobank, Intesa Sanpaolo, MUFG, National Westminster Bank, NatWest, Société Générale, Lloyds, HSBC, ING, RBC, and SMBC:
    • As placement agents in connection with the private placement of £1,200 million in aggregate principal amount of Senior Notes by Wm Morrison Supermarkets plc,
    • As initial purchasers in the offering of £1,075 million in aggregate principal amount of Senior Secured Notes by Wm Morrison Supermarkets plc,
    • As initial purchasers in the offering of €545 million in aggregate principal amount of Senior Secured Notes by Wm Morrison Supermarkets plc, in connection with the financing of the public-to-private acquisition of Wm Morrison Supermarkets plc, the fourth largest grocery retailer in the United Kingdom, by Clayton, Dubilier & Rice, a global private equity manager, at an enterprise value of £9.7 billion
